RELEASE AND WAIVER OF LIABILITY


I am participating in the 2025 Philadelphia Eagles Cheerleaders Auditions scheduled to be held on the following dates at NovaCare Complex, Philadelphia, Pennsylvania, and Lincoln Financial Field, Philadelphia, Pennsylvania and/or virtually: Saturday, March 22, 2025 through Monday, April 14, 2025 (virtually), Tuesday, May 6, 2025 (in person), Wednesday, May 7, 2025 (in person), Tuesday, May 13, 2025 (virtually), Wednesday, May 21, 2025 (virtually), Tuesday, June 3, 2025 (in person) and Wednesday, June 4, 2025 (in person) (collectively, the “Auditions”) and, in consideration of my participation in the Auditions and intending to be legally bound hereby, I DO HEREBY REPRESENT AND AGREE as follows: 


  1.         I understand the Auditions involve physical activity and exertion and that there is a risk of injury by my participation in the Auditions.  I am in sound physical condition, and I am physically able to participate in the Auditions.  I have no pre-existing injuries or conditions which present a risk of injury or aggravation by my participation in the Auditions. 

  2.          I ASSUME THE RISK of my participation in the Auditions.

  3.          WAIVER OF CLAIMS RELATED TO COVID-19: I am aware that the novel coronavirus (“COVID-19”) has been declared a global health pandemic and that COVID-19 is a highly contagious disease that may cause serious physical symptoms, permanent disability, or death.  Although the science is evolving, COVID-19 is believed to be spread through person-to-person contact, contact with contaminated surfaces, and potentially the air.  I acknowledge that attending the Auditions presents a risk of exposure to COVID-19, and I agree to accept that risk.  For myself individually, I RELEASE FROM ANY AND ALL LIABILITY, WAIVE ALL CLAIMS, ACTIONS AND CAUSES OF ACTION WHICH I NOW HAVE OR MAY HEREAFTER HAVE AGAINST, AND AGREE NOT TO SUE the Eagles Organization for harm that may occur due to exposure to COVID-19, WHETHER OR NOT AND INCLUDING IF THE EAGLES ORGANIZATION WAS NEGLIGENT, GROSSLY NEGLIGENT, RECKLESS OR OTHERWISE AT FAULT.

  4.           AGREEMENT TO ARBITRATE AND CLASS-ACTION WAIVER: I agree that any dispute or claim related to my participation in the Auditions or this Agreement and Release will be resolved by binding arbitration, rather than in court.  I AGREE THAT I AM GIVING UP MY RIGHT TO FILE A LAWSUIT in court and instead of having my case decided by a judge or jury, my case will be decided by a neutral arbitrator who has the power to award damages.  This agreement to arbitrate shall also apply to spouses, heirs, and others.  Arbitration under this Agreement shall take place in Philadelphia, Pennsylvania and be conducted under the rules of the American Arbitration Association (AAA).  In the event this paragraph is deemed invalid or unenforceable, I agree that any claim or controversy relating to the Auditions or this Agreement and Release will be resolved exclusively in a court located in the Commonwealth of Pennsylvania (and each party hereto waives any right to object to venue).  I further agree that any claims and disputes must be resolved on an individual basis and not on a class basis. 

  5.           I RELEASE FROM ANY AND ALL LIABILITY, WAIVE ALL CLAIMS, ACTIONS AND CAUSES OF ACTION WHICH I NOW HAVE OR MAY HEREAFTER HAVE AGAINST, AND AGREE NOT TO SUE Philadelphia Eagles, LLC, Philadelphia Eagles Limited Partnership, Eagles Stadium Operator, LLC, Eagles Stadium, Inc., Stadium Purchaser, LLC, Philadelphia Eagles Development, L.P., Philadelphia Eagles Development, Inc., Philadelphia Eagles, Inc., the City of Philadelphia, the Commonwealth of Pennsylvania, the Philadelphia Authority for Industrial Development, the Philadelphia Industrial Development Corporation, the respective subsidiaries and affiliates of each of the foregoing entities, and all of their respective direct and indirect, past, present and future officers, directors, members, managers, shareholders, affiliates, subsidiaries, partners, owners, agents, representatives, attorneys, employees, sponsors, licensees, contractors, successors and assigns (collectively, the “Eagles Organization”), FOR ANY ACCIDENTS, PERSONAL INJURIES, OR DAMAGES TO PERSON OR PROPERTY WHICH OCCUR WHILE I AM PRESENT AT THE AUDITIONS, OR IN ANY WAY ARISE OUT OF MY PARTICIPATION IN THE AUDITIONS, WHETHER OR NOT AND INCLUDING IF THE EAGLES ORGANIZATION WAS NEGLIGENT, GROSSLY NEGLIGENT, RECKLESS OR OTHERWISE AT FAULT. 

  6.           I hereby certify that I am 18 years of age or older and a high school graduate as of the date hereof.

  7.           I acknowledge that should any portion or clause of this Release and Waiver of Liability (“Release”) be found to be unenforceable, that such a finding shall not have any effect on the enforceability of the remainder of the Release, and such finding shall be construed as narrowly as possible to effectuate the remaining terms of the Release. 
          I AM AGREEING TO THIS RELEASE VOLUNTARILY, OF MY OWN FREE WILL, AND WITH THE INTENT TO BE LEGALLY BOUND UNDER THE LAWS OF THE COMMONWEALTH OF PENNSYLVANIA.

          BY AGREEING TO THIS RELEASE, I UNDERSTAND THAT I AM AGREEING TO GIVE UP CERTAIN OF MY LEGAL RIGHTS.



MODEL RELEASE AND ASSIGNMENT


          In  consideration  for  the  right  to  participate  in  the  auditions  for  the  2025  Philadelphia  Eagles Cheerleading Squad (the “Auditions”) and other good and valuable consideration, the receipt and sufficiency of which  is  acknowledged,  I  hereby  irrevocably  grant  and  assign  to  Philadelphia  Eagles,  LLC (collectively, “Eagles”),   in perpetuity, my permission and the absolute right, in Eagles’ sole and absolute discretion, to use and authorize others to use, re-use, publish, re-publish, distribute, display, license, sublicense, assign and otherwise exploit, throughout  the  world,  for  any  purpose  (including,  without  limitation,  illustrative,  artistic, promotional, commercial,  advertising,  merchandising  or  other  trade  purpose(s)),  photographic  portraits, pictures,  video recordings, sound or voice recordings and/or visual or audio likenesses of me or in which I may be included in  whole  or  in  part,  and  any reproductions  thereof in  any  medium,  now  known  or  hereafter  developed  (in color or otherwise), and all adaptations thereof (hereinafter, the “Images and Recordings”), taken by or on behalf  of  Eagles  and  hereby  grant  Eagles  all  other  rights,  including  copyrights  in  and  to  the Images  and Recordings which Eagles may secure exclusively in its name or that of any designee.   I further grant Eagles the right, in its sole discretion, to use or not use my name in conjunction with the Images and Recordings for any or all such purposes.   I  recognize  that  Eagles  shall  have  no  obligation  to  use  any  of the  Images  and Recordings. 

          I understand that the Images and Recordings and the images and audio elements contained therein may be altered and/or combined with other materials.  I hereby waive any right to inspect and/or approve the Images and Recordings or any of the materials in which they may be embodied, as well as all claims, however denominated, arising out of the rights granted herein and agree to hold harmless Eagles, its affiliates, and their respective  affiliates,  direct  and  indirect,  past,  present  and  future  officers,  directors,  managers,  members, partners, owners, employees, licensees, and assigns from and against all actions, causes of action, suits, debts, obligations, losses, damages, liabilities, costs, and expenses whatsoever, including reasonable attorneys’ fees, arising out of and/or relating to Eagles’ exercise of any or all such rights granted hereunder. 

          I  understand  that  the  Auditions  and  all  activities  relating  thereto  (including,  but  not  limited  to the existence, location, subject matter, identity of participants and communications relating in any way to such sessions), are highly confidential and, accordingly, I agree not to use or disclose to anyone for any purpose at any time, any information relating in whole or in part to any of the foregoing and that I shall neither make, attempt to make, nor authorize others to make, any recording, transcription or other embodiment of same for any purpose whatsoever. 

          I expressly warrant and represent that I am a domiciliary of the state indicated below, that I am the sole owner of the rights herein granted, and that I am 18 years of age or older and have the full legal capacity and authority to enter into this Release and Assignment.  I further warrant, represent and covenant that I have not conveyed,  and  shall  not  hereafter  purport  to  convey,  to  any  other  person  or  entity  the  rights  granted hereunder and that this Release and Assignment shall be binding on me and my heirs, legal representatives and assigns.     I understand  that  nothing  contained  herein  shall  be  construed  to  create  a  partnership, employment relationship or joint venture between me and Eagles. 

         The validity, interpretation and legal effect of this Release and Assignment shall be governed by the laws  of  the  Commonwealth  of  Pennsylvania  applicable  to  agreements  entered  into  and  performed  entirely within the Commonwealth of Pennsylvania. 

          I AM AGREEING TO THIS RELEASE VOLUNTARILY, OF MY OWN FREE WILL, AND WITH THE INTENT TO BE LEGALLY BOUND UNDER THE LAWS OF THE COMMONWEALTH OF PENNSYLVANIA.

          BY AGREEING TO THIS RELEASE, I UNDERSTAND THAT I AM AGREEING TO GIVE UP CERTAIN OF MY LEGAL RIGHTS.
